The rules for buying sealed trading-card product from RSC through the partners portal: accounts, pricing, orders, payment, shipping, claims and the limits of what each side is responsible for.

1. Who these terms are between

These Terms & Conditions ("Terms") are between Lumination Ltd Co, doing business as RSC, 5878 Bradley Ct, Frisco, TX 75035, USA ("RSC", "we", "us") and the business identified in your partner account ("you", "Partner"). They apply to the partners portal at partners.rs-chain.com, to the catalog, quotes, special offers, orders, invoices, shipping services and communications you access through it, and to related emails.

The portal is for businesses only. By applying for or using a partner account you confirm that you are at least 18, that you act for a business, and that you have authority to bind that business. Consumers are not eligible.

If you have signed a separate agreement with RSC, or accepted the Business Services Terms & Mutual Confidentiality Agreement in the portal, that document controls where it conflicts with these Terms.

2. Accounts and access

Accounts are opened on application and at RSC's discretion. We may ask for business registration, tax IDs, store links or other verification, and may decline or close an account without giving a reason.

Sign-in is by one-time email code. You are responsible for everyone who uses your account, for keeping the email mailbox behind it secure, and for telling us promptly at support@rs-chain.com if you suspect unauthorized access. Team members you add to your account act on your behalf.

You must keep your contact details, phone number, shipping addresses and tax information accurate. We rely on them for orders, shipments and invoices.

3. Catalog, market pricing and quotes

Catalog prices and availability are live and pegged to third-party market data; they are indicative until an offer is accepted. Requesting a quote does not place an order and does not reserve stock.

When RSC prices a quote, the priced lines form an offer that stays open until it expires, is withdrawn, or you accept it in the portal. Unit prices on quotes and offers include shipping to the destination shown unless the offer says otherwise; the portal shows what a price includes before you accept.

Special offers are pre-priced, time-limited and subject to a minimum quantity and any per-account cap shown. Claiming a quantity is a request; it becomes an order only when RSC approves it, and quantities are allocated first come, first served.

Obvious pricing errors (for example a price that is a small fraction of market) may be corrected or withdrawn before shipment. If we correct one after you accepted, you may cancel the affected line at no cost.

4. Orders, changes and cancellation

Accepting an offer, or having a special-offer claim approved, places a binding order on the stated terms: products, quantities, unit prices, destination and payment terms. Changes and cancellations need RSC's written confirmation and may not be possible once product is allocated or shipped.

RSC may cancel or short an order for stock shortfalls, allocation limits from distributors, suspected fraud, unpaid undisputed amounts, or where fulfilling it would break the law or a distributor restriction. Any amount paid for cancelled units is refunded or credited.

5. Payment

Invoices are due on the terms shown on your account and on the invoice (prepaid unless net terms have been agreed in writing). Product ships when payment terms are met.

You can pay by bank wire, ACH, Wise, or by card in the portal. Card payments carry the processing surcharge disclosed before you confirm, where permitted. Wire and Wise fees deducted by banks are yours; small shortfalls are recorded and may be billed with your next invoice.

Undisputed amounts remain payable while a dispute about another line is resolved. Chargebacks on valid invoices, or repeated late payment, may lead to prepaid terms or suspension. Tell us within 10 days of an invoice if you believe it is wrong.

6. Shipping, delivery and risk

Unless an offer says otherwise, RSC ships by FedEx to the address on the order. Delivery estimates are estimates; a delivery date is guaranteed only where the selected carrier service expressly guarantees it.

Risk of loss passes to you when the shipment is delivered to the address on the order (or to your nominated carrier or freight forwarder, if you arrange collection). Title passes when the invoice is paid in full.

Check shipments on arrival. Report shortages, damage or wrong items to support@rs-chain.com within 3 business days of delivery, with photos of the outer carton, labels and the product, and keep the packaging until the claim is settled. RSC's Damages and Inspection Policy, as shown in the portal, sets how damaged sealed product is valued.

7. International orders

For shipments outside the United States you are the importer of record unless agreed otherwise in writing. Duties, import taxes and brokerage charged by the destination country are for your account and are collected by the carrier from the recipient.

You are responsible for the accuracy of the consignee details, tax registrations and any import licences your country requires, and for making sure the product may be imported and resold there. RSC does not give customs or tax advice.

8. Client shipping labels and pickups

If your account is enabled for the client label desk, you can buy FedEx labels and schedule pickups on RSC's carrier account for your own shipments. The Business Services Terms & Mutual Confidentiality Agreement governs that service.

In short: you are responsible for accurate dimensions, weights, contents, values and addresses; carrier re-measurement, address correction and other carrier-assessed charges are passed through with the carrier's evidence; pickups carry the flat fee shown when you book; and label and pickup charges are invoiced on the schedule shown in the portal.

9. Product, authenticity and returns

RSC sells factory-sealed product sourced through authorized distribution and reputable channels. We do not guarantee the contents of sealed product and make no statement about the value of anything inside it.

Because the product is sealed and market-priced, orders are final. Returns are accepted only for damage in transit, shortages or items that do not match the order, reported under section 6. Unauthorized returns may be refused or credited net of shipping and handling.

10. Acceptable use

You agree not to: resell to countries or persons subject to sanctions; use the portal to commit fraud or to place orders you do not intend to honour; scrape, copy or systematically extract catalog or pricing data; probe or disrupt the portal; share your login; or use partner pricing to misrepresent RSC's prices to others.

We may suspend an account, quote or order while we look into suspected misuse, and may close accounts that break these Terms.

11. Confidential pricing

Partner pricing, quotes, offers, allocations and any non-public information you receive through the portal are confidential to your business. You may share them internally and with advisers who need them; you may not publish them or pass them to other traders. Where you have accepted the Business Services Terms & Mutual Confidentiality Agreement, its confidentiality section applies in full and in both directions.

12. Communications

We send transactional messages about your account, quotes, orders, invoices and shipments by email; those are part of the service and cannot be switched off while the account is open.

Special offers and partner updates by email, and time-sensitive offers by text message, are sent only with your consent. You can withdraw it at any time under Profile in the portal, with the unsubscribe link in any marketing email, or by replying STOP to a text. Message and data rates may apply to texts.

13. Intellectual property

The portal, its software, catalog data, price indexes, images we create and the RSC name and logo belong to RSC or its licensors. You receive a limited, revocable right to use the portal for your business while your account is open. Product names, set names and images belong to their owners. Pokémon and related marks are trademarks of Nintendo, Creatures Inc. and GAME FREAK inc.; RSC is an independent wholesaler and is not affiliated with or endorsed by them or by The Pokémon Company International.

14. Disclaimers and limits on liability

The portal is provided as is. Market prices, availability, transit estimates and price indexes are informational and may be wrong or delayed. To the fullest extent the law allows, RSC excludes implied warranties, including merchantability and fitness for a particular purpose, beyond the express commitments in these Terms.

For any order, RSC's total liability is limited to the amount you paid for that order. Neither party is liable to the other for lost profits, lost business or indirect or consequential loss. Nothing in these Terms limits liability for fraud, for death or personal injury caused by negligence, or for anything that cannot lawfully be limited, and nothing removes rights that consumer or trading law gives and that cannot be waived.

15. Your responsibility to RSC

You will cover losses RSC suffers because of your breach of these Terms, unlawful use of the portal or shipping services, inaccurate shipment information you provide, or your resale of product in breach of law or sanctions, including reasonable legal costs.

16. Ending the relationship

Either party may stop doing business with the other at any time. Existing orders, invoices, claims and confidentiality obligations survive. We may close accounts that are inactive for 12 months or that break these Terms; records are kept as described in the Privacy Policy.

17. Governing law and disputes

These Terms are governed by the law of the State of Texas, without regard to its conflict-of-laws rules, to the extent the law of your country allows. Raise any dispute first with support@rs-chain.com and give us 30 days to resolve it. If that fails, the state and federal courts located in Collin County, Texas have jurisdiction. These Terms do not impose mandatory arbitration and do not waive class actions.

18. Changes to these terms

We may update these Terms. The current version and its effective date are always at partners.rs-chain.com/legal/terms. For material changes we will email account holders or show a notice in the portal at least 14 days before they take effect; continuing to use the portal after that date means you accept the new version. Orders placed before a change keep the terms in force when they were placed.

19. General

If a court finds part of these Terms unenforceable, the rest still applies. A failure to enforce a right is not a waiver. You may not assign your account without our consent; we may assign these Terms to a successor of the business. Notices to RSC go to support@rs-chain.com; notices to you go to the email on your account. These Terms, the Privacy Policy, the Business Services Terms & Mutual Confidentiality Agreement where accepted, and any signed agreement are the whole agreement between us for the portal.
