RSC Business Services Terms & Mutual Confidentiality Agreement

Parties and authority
These terms are between Lumination Ltd Co, doing business as RSC, 5878 Bradley Ct, Frisco, TX 75035, and the business identified in your portal account. You confirm that you are authorized to bind that business. These terms govern new quote requests and shipping-label services after acceptance; they do not replace separately signed agreements or retroactively change existing orders. A separately signed agreement controls in a conflict.
Quotes and orders
Requesting pricing is not an order and does not reserve inventory. Availability, final prices, quantities, destination, payment terms and shipping charges must be reviewed in the offer before acceptance. Accepting an offer places an order on its stated terms. Changes or cancellations require RSC's written confirmation. Report discrepancies promptly with supporting records; nothing here removes rights that cannot legally be waived.
Shipping instructions and responsibility
You authorize RSC to arrange the carrier services you select using the shipment information you provide. Review sender, recipient, package count, dimensions, weight, contents, value, service and documents before purchasing. You are responsible for accurate information, lawful contents, adequate packaging and authority to ship. Do not ship prohibited goods. Carrier service terms, restrictions, claims procedures and deadlines apply. Delivery estimates are not guarantees unless the selected service expressly provides one.
Charges, payment and adjustments
You agree to pay the displayed and accepted charges under the payment terms shown on your invoice. Any card surcharge must be disclosed before payment and applied only where permitted. Carrier remeasurement, address corrections, additional services, duties and other carrier-assessed charges may result in documented adjustments; RSC will identify the basis of an adjustment. A void request does not guarantee a carrier refund. Credits will reflect applicable carrier refunds and agreed adjustments. Contact support@rs-chain.com promptly to dispute a charge; undisputed amounts remain payable. No new late fee is created by these terms.
International shipments
You are responsible for accurate commodity descriptions, values, origin, classifications, tax registrations and required export/import authorizations. An ITN or applicable exemption must be supplied when legally required; an interface prompt is not a determination that a shipment is exempt. Appointing FedEx or another filing agent requires the agent's separate authorization process. Never invent a tax ID, ITN or exemption. Duties and taxes follow the selected shipment terms. RSC does not provide customs or legal advice.
Declared value and claims
Declared value is not a promise of insurance coverage or full reimbursement. Carrier liability limits, exclusions and evidence requirements apply. Any separate insurance applies only according to its policy and confirmed coverage. Preserve packaging and shipment records and notify RSC promptly about loss or damage so applicable carrier deadlines can be met. These terms do not waive liability or remedies that cannot be excluded by law.
Mutual confidentiality (NDA)
Each party will protect the other's nonpublic pricing, rate arrangements, customer and supplier information, business records and technical information received for this relationship using reasonable care, and use it only to perform or evaluate the relationship. Information is not confidential if it is lawfully public, already known without restriction, independently developed, or lawfully received from another source. Disclosure is permitted to personnel, professional advisers, carriers and service providers who need it for that purpose and are subject to appropriate confidentiality duties, or as required by law. Where lawful, give prompt notice of compelled disclosure. On request, return or delete confidential information except records required by law or retained in routine protected backups. These duties last three years after the relationship ends; trade secrets remain protected while they qualify as trade secrets. Neither party acquires ownership of the other's information.
Data use and account security
RSC uses account, address, shipment, tax-registration and payment-related records to operate services, arrange transport, invoice, reconcile, prevent abuse and meet legal obligations. Necessary information is shared with carriers, payment processors and other service providers. Only enter information you are authorized to provide. Keep account access secure and report unauthorized activity promptly. Contact support@rs-chain.com about access, correction or privacy questions. Records may be retained where needed for accounting, shipment claims and legal obligations.
Suspension and disputes
RSC may suspend new transactions for suspected misuse, unlawful shipments, security concerns or unpaid undisputed charges, while preserving access to records where reasonably possible. Either party may stop initiating new business; existing obligations survive. Contact support@rs-chain.com first to seek resolution. Texas law governs to the extent permitted, without displacing mandatory protections. No mandatory arbitration or class-action waiver is imposed here.
Electronic acceptance and retained copy
By checking the acceptance boxes and submitting your name, you agree to transact electronically and intend that action as your electronic signature for this version. You can retain or print this agreement from its permanent version link. Material revisions require a new acceptance for future transactions.
